Public Offer

The terms of sale: what you are buying, what it costs, how payment and renewal work, and what happens to your money if you switch plans or stop. It applies together with the Terms of Use and the Privacy Policy.

1. Who is making this offer

1.1 This offer is made by Governor, referred to here as Governor, or as we and us. Written notice reaches us at support@governorpoker.app.

1.2 This offer is addressed to any individual who is at least 18 years old and at least of the age of majority where they live.

2. What you are buying

2.1 We grant you access, for a paid period, to a poker study and training service for the ClubGG platform, consisting of a macOS client application and a server-side analysis service.

2.2 What you are buying is access to a service for a period of time. You are not buying software, a copy, a perpetual licence, a database, a model, or any intellectual property. When access ends, the client stops producing output.

2.3 The service is described in full in the Terms of Use, which forms part of this contract together with the Privacy Policy. By accepting this offer you accept all three documents.

2.4 What we do not sell. We do not sell winnings, profit, income, a rate of return, a strategy guaranteed to work, or a result of any kind. No amount of profit is promised anywhere in this contract or on any of our pages.

3. Price, and which plan is cheaper

3.1 There are two plans, and an account is on exactly one of them at a time.

3.2 Which is cheaper, said plainly and in advance. Pay-as-you-go costs 3.75 times more per day than the monthly plan: USD 800 over 30 days is USD 26.67 a day, and pay-as-you-go is USD 100. The break-even point is eight days. Eight days of pay-as-you-go costs USD 800, exactly the monthly price, and from the ninth day onwards the monthly plan is cheaper. Thirty days of pay-as-you-go is USD 3,000 against USD 800 monthly.

If you play most days, take the monthly plan. Pay-as-you-go is for weekends, for coming back after a break, and for trying the coach without committing USD 800. It is not a cheaper option, it is an option for a different pattern of play. We state this here, before you buy, rather than leaving you to work it out afterwards.

3.3 What a day is. A day lasts 24 hours from the moment it is paid for. It is a rolling window, not a calendar date. This is deliberate: with calendar days, sitting down at 23:50 and standing up at 00:10 would cost two days, USD 200, for twenty minutes. There is no midnight, and the rule is the same in every country and time zone.

3.4 A payment on its own starts no period. A payment adds to your balance and does nothing else: no period begins and nothing is switched on by the money arriving. You may therefore fund the account as far in advance as you like: money sitting on your balance is not spent, does not expire, and is not lost because you did not play that week. What does start a period is set out in 3.5, and it is always something you did.

3.5 Exactly what charges you, and when. Three moments, and no others.

  1. You press a buy button in your account. The price is taken from your balance at that moment and the period starts running at once.
  2. You sit down at a table with enough on your balance for the plan your account is on, having bought nothing. The first assessment the service actually gives you starts that plan and charges it, without a button being pressed. A new account is on the monthly plan until you change it, so this first charge is USD 800 unless you have switched to pay-as-you-go. If you want the cheaper option, buy the day, or switch plan, before you play.
  3. A period you already have comes to an end. The next one is taken from your balance by itself, so that a session is not cut off mid-hand — but only if you played at least once during the period that ended. If you did not, nothing is taken and the money stays on your balance. This applies to a pay-as-you-go day exactly as it applies to a month: a day renews into the next day while you keep playing.

Stopping costs nothing and needs no cancellation. Stop playing and no further period is ever taken. The most you can lose by walking away is the one period that began while you were still playing.

Under 2, nothing is charged if the engine stays silent — because there is no connection, because it could not read the table, or because it declined to answer. That is our failure, not yours, and you do not pay for it. However many times the client asks, you are charged once; however many times you press a buy button, you are charged once.

3.6 Prices are stated in US dollars and paid in cryptocurrency. The amount of cryptocurrency due is the amount equal to the dollar price at the rate we display at the time of payment.

3.7 Network fees are yours. The amount that must arrive at the deposit address is the full amount due, subject to the tolerance in section 5.5.

3.8 There is no trial period and no free tier. Pay-as-you-go at USD 100 is the smallest commitment available.

3.9 We may change prices. A price change does not affect a period already paid for, and does not affect the balance you already hold. We publish a change and give 30 days before it applies to your next renewal.

4. How to accept this offer

4.1 You accept by, in this order: signing in with Google and creating an account; accepting the Terms of Use, the Privacy Policy and this Offer, which is recorded together with the revision identifier and the fingerprint of each; and sending the full amount due to the deposit address assigned to your account.

4.2 The contract is concluded when we credit your payment under section 5.4. That payment becomes balance on your account, and your first paid period begins in one of the ways set out in section 3.5.

5. Payment and renewal

5.1 A deposit address is generated for your account and belongs to it permanently. Every payment you make goes to that same address. Do not send to an address given to anyone else, and do not send from an exchange account that does not let you control the sending address if you may later need to prove the payment was yours.

5.2 We accept USDT on the TRON network, and nothing else.

5.3 Send only USDT on TRON to your address. Anything else, whether another asset or USDT on another network such as Ethereum or BNB Chain, is irrecoverable. We cannot return it and we cannot credit it, and no request to us can undo it. This warning also appears on the payment screen itself.

5.4 A payment is credited after 19 network confirmations, which is roughly a minute on TRON. Until then it is pending and does not add to your balance. Confirmation time depends on the network, not on us.

5.5 There is no such thing as underpayment, and there is a stated tolerance where no button is pressed. Whatever arrives becomes balance, because a payment buys nothing by itself: if less than a price arrives, nothing has gone wrong and nothing is owed. When a period is taken from your balance without you pressing anything — cases 2 and 3 of section 3.5 — and the balance falls short by less than 1% of that period's price (USD 8 on the monthly plan, USD 1 on a day), we make up the difference and treat the period as paid. This exists because exchanges deduct a withdrawal fee from the amount sent, so a customer who sends exactly USD 800 can have slightly less than that arrive through no fault of their own, and because a session must not be cut off mid-hand over an exchange fee. A period you buy with a button carries no tolerance: the button needs the full price on your balance, and it is visibly unavailable until it is there.

5.6 Money you send becomes account balance, and balance does not expire. A payment tops up your balance; a plan draws from it. Nothing is charged in advance, nothing is charged twice, and anything left over stays yours.

5.7 Nothing is ever served on credit. If your balance is not enough for the next month or the next day, access stops. Your balance cannot go negative.

5.8 Every movement is a dated line in a ledger. Your balance is not a number we hold and adjust; it is the sum of an append-only ledger in which each entry has a date, an amount and a reason. Entries are never edited or deleted, and a correction is a new, opposite entry. The history of what you paid and what it bought can always be reconstructed, including by us when you ask.

5.9 We can never take money from you, only from your balance. We cannot charge your card, your bank or your wallet, because we are never given the means to. There is no standing authority and nothing to cancel. A period begins only in the three ways set out in section 3.5, all of them drawing on balance you had already sent, and the renewal in 3.5(3) stops of its own accord as soon as you stop playing. If you stop topping up, access simply ends when your balance or your paid period runs out.

5.10 Buying while a period is still running adds to the end of it. Nothing you have already paid for is shortened, replaced or burned, and the two purchases run one after the other rather than at the same time.

6. Switching between plans

6.1 The two plans never run at the same time. Your account is on exactly one of them, and the system refuses to hold a monthly period and a pay-as-you-go day that are both live.

6.2 A switch takes effect when your current paid entitlement runs out. If you are on the monthly plan and switch to pay-as-you-go, you keep the month you paid for, and the new plan begins when it ends. Your requested change is recorded and waits. You are not cut short and you are not double-charged.

6.3 An immediate switch is possible only by our decision, at your request, for example if you are plainly on the wrong plan and losing money by it. In that case the old entitlement is closed at the same moment the new one opens.

6.4 Switching does not produce a refund, and we will not call it one. When an entitlement is closed early, the unused part is returned to your account balance, not sent back to you in cryptocurrency. It stays available for whatever you buy next, on either plan. Nothing is burned by switching. If you read the word refund here and expected coins to arrive in your wallet, that is exactly the misunderstanding this paragraph exists to prevent.

6.5 Choosing well costs you nothing. Because unused value returns to balance rather than being lost, trying pay-as-you-go and moving to monthly, or the reverse, costs only the difference in price, never the remainder of what you had already paid.

7. Access, devices, uptime

7.1 During a paid period you may use the service on two Macs bound to your account, and only one of them at a time: while one is asking for assessments the other is told to wait, and it can take over about a minute and a half after the first stops. Reinstalling macOS or the client on a Mac already bound does not use up a slot. There is no button anywhere that releases a slot. If you replace a Mac, write to support@governorpoker.app and we will move the slot for you. Slots may be moved at most four times in any 30 days; past that the client says so and asks you to write to us.

7.2 Access requires an active paid period, an accepted current revision of the Terms, a bound device, and a working connection to our server.

7.3 We do not promise uptime. The service may be unavailable for maintenance, for failures of our hosting provider, or for reasons outside our control. No service-level commitment is offered.

7.4 If the server is unreachable, the client shows nothing. This is by design and is not a defect, and you are not charged for it.

7.5 We warn you an hour before your access runs out, when it is going to. One hour before the end of a monthly period or of a pay-as-you-go day, the client tells you and invites you to top up — unless your balance already covers the next period, in which case there is nothing to warn about and we stay quiet. This is a warning, not a restriction: assessments continue exactly as normal for that final hour. The point is that you find out before you are cut off rather than after.

8. Refunds and withdrawal

8.1 The payment channel is irreversible. A cryptocurrency transfer cannot be reversed by us, by you, or by any intermediary. There is no chargeback. Please be certain before you send.

8.2 Statutory withdrawal rights, and the acknowledgement we ask you for. A consumer in the European Union or the United Kingdom ordinarily has 14 days to withdraw from a distance contract. For digital services there is an exception, but it applies only if, before performance begins, the consumer gave express prior consent to immediate performance and acknowledged losing the right of withdrawal, and the trader recorded that.

That is why the consent step at sign-up asks you to tick, as a separate box and in addition to accepting these documents:

“I request that the service be made available to me immediately, and I acknowledge that by doing so I lose my right of withdrawal once it has been made available.”

The box is not pre-ticked, it is a distinct action from accepting these documents, and the acknowledgement is recorded with the same rigour as the acceptance of the terms: the revision, the fingerprint of the published text, and the moment you gave it. If you do not tick it, you keep your 14-day withdrawal right and section 8.3 does not defeat it.

8.3 Subject to section 8.2, fees are non-refundable. In particular there is no refund for an unused part of a month, for not playing, for results you did not like, or for termination for cause under section 9.2.

Refund in this section means money sent back out to you, and only that. It is a different thing from balance, which is value kept on your account and spendable on the service. Unused value from a plan switch goes to balance and is not lost, but it does not come back out as cryptocurrency, and nothing in this section turns balance into a refund.

8.4 Refunds we do give:

  • Discontinuation. If we permanently discontinue the service during a paid period, we refund the unused part pro rata.
  • Discretionary termination. If we terminate your access at our discretion and not for a reason in section 9.2, we refund the unused part pro rata.
  • Our failure. If the service is materially unavailable for a continuous period attributable to us, we refund pro rata for that period. The threshold in hours is 24.

8.5 How a refund is paid. In the same asset and on the same network, to an address you nominate, less network fees. We do not refund in fiat currency. Movement in the exchange rate between payment and refund is not compensated: a refund of a number of days returns the crypto value of those days at the rate used when you paid.

8.6 We cannot refund a payment we never received, including funds sent to the wrong address, on the wrong network, or in the wrong asset.

9. Termination

9.1 You may stop at any time by not paying again. You may also ask us to close your account, in which case section 8.3 applies.

9.2 We may suspend or terminate access, with or without notice, for non-payment; for breach of the Terms of Use; on a request from ClubGG or another operator concerning you; on a reasonable belief that continued access exposes us to legal or regulatory risk; or at our discretion under section 8.4.

9.3 We record a reason for every termination, from a fixed list: non-payment, venue request, decision of Governor, abuse, other.

9.4 On termination the client stops producing output. Your data is handled as described in the Privacy Policy.

10. Liability

10.1 Our liability under this contract is limited as set out in section 9 of the Terms of Use, and is subject to the same qualifications. In summary, and subject to law: we are not liable for gambling losses, for action taken against you by a poker operator, or for indirect loss, and our total liability is capped at the amount you paid in the preceding three months.

10.2 Nothing in this contract excludes liability that cannot be excluded by law, including liability for fraud.

11. Taxes

11.1 Any tax, duty or levy payable by you in your own country on your purchase is yours to pay and to declare.

11.2 The prices in this offer are the full amount you pay. No value added tax is charged on top of them.

12. Governing law

12.1 We sell worldwide and we do not impose one country's courts on you. This contract is governed by the law of the country where you habitually reside, and you may bring proceedings there.

12.2 A consumer generally retains the mandatory protections and the courts of their own country regardless of this section.

13. Changes and revisions

13.1 We may publish a new revision of this Offer. Each has an identifier, for example offer/v2, a publication date, and a fingerprint of the exact published text.

13.2 The revision in force when you paid governs that paid period. A new revision applies from your next renewal, and we ask you to accept it before that renewal takes effect.

13.3 Superseded revisions remain available on request.
